In consideration of the terms and covenants of this agreement, and other valuable consideration, the parties agree as follows:

1. RECUTALS
a. Both parties desire to join together for the pursuit of common business goals.
b. Both parties have considered various forms of joint business enterprises for their business.

2. RESPONSIBILITIES & RELIABILITIES
Party A
- According to the information of XXXX business access standards, investment environment and tax
policy which provided by Party B, Party A shall recommend the high-quality companies from China to conduct business through Party B in XXXX.
- Provide the full documentations of Chinese companies to conduct business in XXXX.
- Ensure the authenticity and legality of all the documentation provided by the Chinese companies. - As authorized by Party B, Party A is responsible to the signing and interpretation of various
documents for mutual business.
- Assist Party B to conduct the business promotions and publicities in China.
Party B
- Party B shall provide all the financial support on their business in China; it includes business initiation,
management and promotion.
- As Party A shall refer the Chinese Companies to Party B. Party B shall provide these companies the
consultant services regarding legal, audition, taxation, financial, risk management, accounting and other related areas.
- In order to establish the intensiveness business co-operation. Party B shall provide all the business
related documents, information, legal acts and governmental information in XXXX for the reference of Party A.
- Party B shall provide a systematic training course on XXXX businesses SOP (Standard Operation
Procedure), XXXX law & Tax regulations and IIM Billing system for Party A employees.
二． 责任与义务
甲方
- 甲方根据乙方所提供的XXX业务进入标准、投资环境以及税收政策，为乙方推荐中国国内优质企业到乙
方公司开展业务。
- 提供中国公司在XXXX进行业务所需的所有文件。
- 确保中国公司文件的真实性、合法性。
- 负责乙方在中国业务各种文件的签署、解释工作。
- 协助乙方在中国展开相关业务的推广及宣传。
乙方
- 乙方将提供其相关项目的所有开展、管理及推广业务的资金。

- 甲方所推荐到XXXX地区的企业，乙方须为其提供后续的经营、管理、法律法规咨询、会计及其他相关的顾问服务工作。 乙方根据甲方在中国开展业务的需要，提供一系列必要的宣传类资料，包含当地的税收政策、投资环境分析、乙方公司的官方宣传材料等。 乙方须向甲方特定人士进行XXXX当地业务的标准操作步骤、政府法律/税则规定及IIM收费系统的培训
课程。
3. COMMUNICATION STRUCTURE
For a better future business development, Party A and Party B shall establish a regular meeting schedule for the business assessment, business flow and information exchange.
三． 业务沟通交流机制
为了将来更佳的业务拓展，甲、乙双方须定时展开会议，进行业务发展的评估、流程及信息交流。
4. CONVENANT AGAINST REVEALING TRADE SECRETS
No party shall, during the continuance of the co-operation relationship or for 5 years after its termination by any means, divulge to any person not a member of both firms any trade secret or special information employed in or conductive to the co-operation business and which may come to the both party’s
knowledge in the course of the co-operation relationship, without the consent in writing of the other party, or of the other party’s heirs, administrators, or assigns.
四． 保守商业秘密的承诺
在甲、乙双方展开合作业务的存续期间或无论以何种方式终止合作业务后5年内，如果没有其他合伙人或其继承人、管理者或受让人的书面同意，任何合伙人不得向非公司成员泄漏任何商业秘密或有官合作业务采用或有助于合作业务的信息，在合作业务的运营过程中，该信息可能会成为合作双方的专有知识。
5. DURATION OF AGREEMENT
The term of this agreement shall be for 1 year, commencing on [DATE], and terminating on [DATE], unless sooner terminated by mutual consent of the parties or by operation of the provisions of this agreement.
五． 协议期限
本协议期限为[1]年，从[2011年x月x日]开始到[2012年x月x日]结束，除非甲、乙双方同意或本协议条款规定可终止该协议。
6. GOVERNING LAW
The enforcement and interpretation of this agreement shall be governed by the laws of THE PEOPLE’S REPUBLIC OF CHINA.
六． 法律适用
本协议的实施和解释适用于中华人民共和国法律。
7. RESOLUTION OF DISPUTES
Any dispute arising out if or in connection with this Agreement, shall be governed and construed by the laws of the PEOPLE’S REPUBLIC OF CHINA in CHINA INTERNATIONAL ECONOMIC AND TRADE
ARBITRATION COMMISSION, and shall be referred to and finally resolved by China Beijing District Court, P.R.C.
七． 争议的解决方案及管辖
所有因履行本协议引起的，与之相关的或不能够通过协商解决的争议及纠纷，任何一方均可将争议提交中国国际经济贸易仲裁委员会，并且依照中华人民共和国规定，在北京通过仲裁的方式进行解决。
8. PREVAIL OF LANGUAGE VERSION
Any contradiction between Chinese and English version, Chinese version shall prevail.
八． 中文及英文版本间的效力
所有因中、英文版本引起的矛盾及争议，以中文版本为准。
9. OTHER PROVISION
Both parties will be based on actual needs of the business co-operation to sign the specific business contracts and execute accordingly. If there are inconsistencies between the contract and this agreement, the contract shall prevail.
九． 其他事项
甲乙双方将根据实际需要在实际业务合作时签订具体业务合同，并按合同约定执行。如具体业务合同存在与本协议不一致之处，以具体业务合同约定为准。

China to provide advisory services for worldwide financial investment, business merger and acquisition, capital market and stock market, financial and legal matters, strategic business development and investment.

checking & renewal, finance and accounting serves, trusty management, etc.
C、 英国公司配套服务资源：专业秘书、提供商务资源整合空间、专
案指派服务、免费虚拟办公室、商业配套升级服务（专线来电接听、英国电话转接、办公室使用、公司行政管理） 、法律顾问。 UK company resources : professional company secretary, business
co-ordination activities, specific project management, free virtual office, business support accessory services (such as specific call pick-up services, UK Call transfer, office spaces, company administrative management), legal advisory services.

E、 伦敦商务考察团
London Business Investigation Program.

Bahamas Project including immigration, property investment, tourism related investment and port investment, etc.
甲乙双方经友好协商，就整合双方的优势资源开展国际合作，结成战略合作联盟一事达成如下协议：
Through mutual discussion, with consideration of integration of both Parties’ competitive advantages for international business development, Party A and Party B has mutually agreed the following items for strategic co-operation alliance.
一、 合作领域
Co-operation Domain
甲乙双方拟在下列方面进行合作（包括但不限于以下方面）：
Party A and Party B have agreed on the following co-operation (including but not limited to below stated items)
1、 上市融资：甲方为乙方输送中国企业在英国证券市场上市（包括主板和创业板市场）；
IPO Equity Financing : Party A will introduce the potential China
Corporations to Party B for IPO in UK Stock Market (including Main Board and GEM Board).
2、 私募融资：乙方为甲方输送的中国企业在英国境内进行私募融资；
Private Equity Fund Financing : Party B will introduce the UK Private Equity Fund to Party A for potential China Corporation.
3、 企业服务：乙方为甲方输送的中国企业提供在英国的分支以及独立机构注册及其管理服务，甲方为乙方输送的英国企业提供在中国的分支以及独立机构注册及管理服务；
Corporation Services : Party B will provide company registration and management services in UK to Party A’s introduced China Corporation who intends to setup the subsidiary company, branch office or independent corporation in UK. Party A will provide same sort of services in PRC to Party’s introduced UK Corporation who intends to setup the business entity or office in PRC.
4、 文化经济交流：甲乙双方共同组织主办在中国以及英国境内的各种金融投资、文化经济交流活动以及国际间招商引资活动。
Cultural and Economical Exchange Program : Party A and Party B will co-operate to organize various activities in UK and PRC for Financial Investment, Cultural and Economical Exchange Program and International-wise Business Development Conference.
二、 合作方式
Manner of Co-operation
1、 乙方授权甲方为其在中国境内的代表机构，负责乙方在中国的合作项目及相关事务。
Party B authorized Party A to act as the Representation Agent of Party
B in Mainland China to perform the co-operation business.
2、 甲方授权乙方为其在英国境内的代表机构，负责甲方在英国及国际的合作项目及相关事务。
Party A authorized Party B to act as the Representation Agent of Party B in UK to perform the co-operation business.
3、 甲乙双方为对方提供双语翻译1名，负责双方日常事务的沟通交流；
Both Parties will provide a bilingual translator for each other to take care both parties’ daily operation and communication matters.
4、 甲乙双方互设办事处及电话转、接听服务。
Both Parties will establish their own representation office and provide call transfer and pick-up services.

Cooperation Framework Agreement
甲方：西安旌旗电子有限公司
Party A: Xi’an Flag Electronic Co., Ltd.
乙方：GLOBAL TORONICS FOR ELECTRONICS (EGYPT) Party B: GLOBAL TORONICS FOR ELECTRONICS (EGYPT)
甲乙双方本着互惠互利、资源共享、技术互补和共同发展的原则，经双方友好协商,就甲方向乙方提供电力线载波模块、抄表系统及相关电力线载波技术方案，达成合作意向，为明确双方的权利、义务特制订本协议。
Both parties, for principles of mutual benefit, resource sharing, complementary technology and joint development, through friendly negotiation, the two parties entered into collaboration Party A to provide Party B power line carrier wave module, meter reading system and related power line carrier wave technology program; to clear the rights and obligations thereof this Agreement was therefore made in particular between the two parties herein.
一、合作内容
1. Contents of cooperation
电力线载波抄表系统：包括管理软件；集中器；单、三相（单费率）载波电度表；单、三相复费率载波电度表；单、三相预付费载波电度表；载波模块。
Power line carrier wave reading system: including management software, concentrator, single and three phase (single rate) carrier wave kilowatt-hour meter, single and three phase dual rate carrier wave kilowatt-hour meter, single and three phase prepaid carrier wave kilowatt-hour meter, carrier wave module. 二、合作方式
2. Ways of cooperation
1、甲方按照乙方需求设计提供符合要求的全套载波电表设计、生产、调试技术方案，乙方按照方案生产整表。集中器、载波模块、MCU芯片、软件由甲方负责提供。
1. Party A, in accordance with the needs of Party B, shall design and provide the whole set of carrier wave ammeter design, production and testing technical solutions meeting the requirements; and the Party B, according to the solutions made above, shall carry out the production of entire meter, while the Party A shall provide concentrator, carrier wave module, MCU chip and software.
2、甲方提供载波电表的技术标准，乙方按照甲方提供的技术标准自行设计生产整表，甲方提供载波接口部分的技术支持。载波模块、集中器、软件部分由甲方提供。
2. Party A shall provide the carrier wave ammeter’s technical standards according to which Party B shall design and produce the entire meter by itself, and Party A shall provide carrier wave interface part’s technical support; furthermore, carrier wave module, concentrator and software shall be provided by Party A. 三、知识产权
3. Intellectual property rights
甲方所提供的所有技术及资料均归甲方所有，合作期间允许乙方无偿使用，未经甲方许可乙方不得转让第三方使用。合作终止后乙方需归还乙方所有的技术、资料及产品。
All the techniques and information provided by Party A shall be owned by Party A, which may be used for free by Party B during the cooperation; but Party B may not transfer it to third parties without permission of Party A. And when cooperation finished, Party B shall return all the techniques, information and products. 四、保证金 4. Deposit
1、为确保甲乙双方合作的顺利进行，加快双方合作进程，保护甲方的知识产权，增强甲乙双方合作诚信。
1. To ensure the smooth progress of cooperation for both parties, speed up the process of the bilateral cooperation and protect Party A’s intellectual property rights, thereby enhance the integrity of both parties;
2、甲方向乙方收取20000美元保证金，在甲乙双方进行批量交易时，冲抵乙方货款。
2. Party A shall collect US$ 20,000 as deposit from Party B, which may be used as payment for goods of Party B in the bulk transactions of both parties.. 五、双方的权利义务
5. Rights and obligations of both parties
1、甲方负责技术支持和前期产品调试指导，合作前期必要时甲方派专人去现场进行技术指导。 1. Party A is responsible for technical support and product’s pre-debugging guidance, and Party A shall send specially-assigned person to the site for technical guidance when necessary in the prophase of cooperation;
2、甲方负责提供技术方案及技术资料。
2. Party A is responsible for providing technical solutions and technical information; 3、甲方提供所有的技术资料，乙方要严格保密，未经甲方许可乙方不得转让第三方使用。 3. Party A is responsible for providing all the technical information, which shall be strictly confidential by Party B, and not be transferred to third parties without permission of Party A; 4、合作后期，甲方负责提供载波模块、集中器、系统软件；乙方负责自行设计生产载波电表整表及系统的调试和服务。
4. During the late cooperation period, Party A shall be responsible for providing the carrier wave module, concentrator and system software; and Party B shall be responsible for the design and production of the whole carrier wave ammeter and the debugging and service of the system.. 六、技术及其他约定
6. Technical and other conventions
1、技术标准为甲方提供本企业载波系统的企业标准，符合中国DLT/645-1997规约。
1. The technical standards provided by Party A are enterprise standards for its carrier wave system, which are in line with China’s DLT/645-1997 Statute; 2、甲方向乙方提供单三相电度表PCB板的外形寸图。

9. When disputes occur during the implementation of the Contract between the two parties they may be resolved through the friendly consultation of the two parties. For issues not stipulated in this Contract, both parties shall negotiate to sign a supplementary agreement which has the same legal force with this Contract. This Agreement is in duplicate, each party holds one, which shall enter into force once signed by both parties.
